Terms of Service

1. Agreement to Terms

By accessing or using Niptao ("Service"), operated by Mindweave Technologies Pvt. Ltd. ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms should be read together with our Privacy Policy, which explains how we handle your personal data.

2. Description of Service

Niptao is a free expense splitting application designed for the Indian market that provides:

• Creating groups and tracking shared expenses
• Multiple split types: equal, exact amount, percentage, and custom shares
• Automatic debt simplification to minimise the number of settlements
• UPI deeplink generation for convenient settlement via GPay, PhonePe, Paytm, and other UPI apps
• Group summaries and balance tracking

3. User Accounts

3.1 Account Creation

To use Niptao, you must create an account using Google OAuth, email and password, or magic link. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately at support@mindweave.tech of any unauthorised access.

3.3 Account Deletion

You may request deletion of your account at any time by contacting us. Upon deletion, all your personal data, expenses, and group memberships will be permanently removed in accordance with our data retention policy.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose, including money laundering or fraud
• Create fictitious expenses or manipulate balances to deceive other group members
• Upload false, misleading, or fraudulent information
• Impersonate another person or create accounts on behalf of others without their consent
• Interfere with or disrupt the Service or its infrastructure
• Attempt to gain unauthorised access to other users' data or accounts
• Use automated tools to scrape, crawl, or extract data from the Service
• Use the Service to harass, abuse, or threaten other users

5. UPI Settlement

Niptao provides UPI deeplinks as a convenience for settling debts. You acknowledge and agree that:

• Niptao is not a payment processor, payment gateway, or financial intermediary
• All payments are processed entirely by your UPI application (GPay, PhonePe, Paytm, etc.) and your bank
• We do not guarantee the success, accuracy, or timeliness of any UPI transaction
• We are not responsible for any errors, failed transactions, or disputes arising from UPI payments
• Settlement confirmation in Niptao is manual and self-reported — we do not verify actual payment completion
• You are solely responsible for verifying that payments are sent to the correct UPI ID and for the correct amount

6. User Content and Data

6.1 Your Content

You retain ownership of data you create (expense records, group names, etc.). By using the Service, you grant us a limited licence to store, process, and display your data as necessary to provide the Service.

6.2 Group Data Visibility

When you join a group, your name, email, and expense contributions are visible to other group members. When you add an expense, all members of the group can see the expense details and split breakdown. By joining a group, you consent to this data sharing with fellow group members.

6.3 Our Content

The Service, including its design, features, algorithms, and content (excluding user data), is owned by Mindweave Technologies Pvt. Ltd. and protected by intellectual property laws.

7. Free Service

Niptao is currently provided free of charge. We reserve the right to introduce paid features or subscription tiers in the future. Any such changes will be communicated in advance, and existing free features will remain accessible unless otherwise stated.

8. Termination

We may suspend or terminate your access to the Service at any time for violations of these Terms or for any other reason at our discretion. You may terminate your account at any time by contacting us at support@mindweave.tech.

Upon termination, your right to use the Service ceases immediately. We may retain certain data as required by law or as described in our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by applicable Indian law, Mindweave Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Financial losses arising from incorrect split calculations or settlement errors
• Failed, misdirected, or disputed UPI transactions
• Loss of data due to service interruptions
• Disputes between group members regarding expenses or settlements

Since Niptao is a free service, our total aggregate liability shall not exceed INR 1,000 (one thousand rupees).

11. Indemnification

You agree to indemnify and hold harmless Mindweave Technologies Pvt. Ltd., its officers, employees, and partners from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or disputes with other users regarding shared expenses or settlements.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through a prominent notice on the Service. Continued use after changes constitutes acceptance of the modified Terms.
